These Terms of Service (“Terms”) govern the use of the services (“Services”) provided by Sui Corporation (“we,” “our,” or “the Company”) through this website. All registered users (“Users”) are required to comply with these Terms when using our Services.

Article 2 (User Registration) User registration is completed when the applicant agrees to these Terms, applies using the method specified by the Company, and receives approval from the Company. We may refuse to approve registration if we determine that any of the following apply:
- False information was provided at the time of application
- The applicant has previously violated these Terms
- We otherwise determine the registration is inappropriate
Article 3 (User ID and Password Management) Users must manage their user ID and password responsibly. Users may not transfer, lend, or share their credentials with third parties. If login is performed using a combination of a registered ID and password, it will be deemed as use by the registered User. We are not responsible for any damage caused by third-party use unless due to our intentional or gross negligence.
Article 4 (Fees and Payment) Users shall pay fees displayed on our website for the paid portions of the Services using the method specified by the Company. If payment is delayed, a late fee of 14.6% per annum will be charged.
Article 5 (Prohibited Acts) Users must not engage in the following activities:
- Violation of laws or public order and morals
- Criminal acts
- Infringement of intellectual property rights
- Destruction or interference with servers or networks
- Commercial use of information obtained through the Services
- Activities that interfere with our operations
- Unauthorized access or attempts thereof
- Collecting or storing personal information of other Users
- Use of the Services for illegal purposes
- Causing disadvantage, damage, or discomfort to other Users
- Impersonation of other Users
- Unauthorized advertising, solicitation, or sales
- Using the Services to meet unknown individuals
- Providing benefits to anti-social forces
- Any other actions deemed inappropriate by the Company
Article 6 (Suspension of Service) We may suspend or interrupt the Services without notice in the following cases:
- System maintenance or updates
- Force majeure such as natural disasters
- System or communication failure
- Other cases where providing the Services is deemed difficult We bear no liability for damages caused by such suspension or interruption.
Article 7 (Usage Restrictions and Deregistration) We may restrict or delete user accounts without notice if:
- Any provision of these Terms is violated
- False information is found in registration
- Payment obligations are unmet
- No response is received over a set period
- The Services have not been used for a long time
- We deem the use of Services inappropriate We are not responsible for any resulting damages.
Article 8 (Withdrawal) Users may withdraw from the Services through the method specified by the Company.
Article 9 (Disclaimer and Limitation of Liability) We do not guarantee that the Services are free of defects (e.g., safety, reliability, accuracy, completeness, fitness for a particular purpose, or legality). We are not liable for any damages unless caused by our intentional or gross negligence. If this contract is deemed a consumer contract under Japanese law, this disclaimer may not apply. Even in such cases, we are not liable for special damages arising from negligence unless we foresaw or could have foreseen such damages. Our liability is limited to the amount paid by the User in the relevant month. We are not responsible for disputes between Users or between Users and third parties.
Article 10 (Changes to Service Content) We may change, add, or discontinue the Services with prior notice to Users.
Article 11 (Amendment of Terms) We may revise these Terms without individual consent if:
- The changes benefit Users generally
- The changes are reasonable considering their purpose, necessity, and content In such cases, we will notify Users in advance of the changes and their effective date.
Article 12 (Handling of Personal Information) We will appropriately handle personal information obtained through the use of the Services in accordance with our Privacy Policy.
Article 13 (Notices and Communication) Notices between Users and the Company shall be made using the method specified by the Company. Unless otherwise notified, we will consider the registered contact details as valid.
Article 14 (Prohibition of Transfer of Rights and Obligations) Users may not transfer or assign their contractual status or rights/obligations under these Terms without prior written consent.
Article 15 (Governing Law and Jurisdiction) These Terms shall be governed by the laws of Japan. Any disputes arising in relation to the Services shall fall under the exclusive jurisdiction of the court with jurisdiction over the Company’s headquarters.
